Terms of Service

1. Acceptance of Terms

By accessing or using the Exfira platform, APIs, or related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree to these Terms, do not access or use the Services.

2. Description of Services

Exfira provides an AI governance platform including a proxy gateway, PII detection and redaction engine, policy enforcement layer, observability tooling, and related APIs and dashboard. The Services are provided on a subscription basis as described in the applicable order form or pricing page.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Accounts

You must create an account to use the Services. You are responsible for:

  • Maintaining the confidentiality of your credentials and API keys.
  • All activity that occurs under your account.
  • Notifying us immediately at security@exfira.io of any unauthorized use.

Accounts may not be shared between individuals. You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation.
  • Transmit malicious code, malware, or exploit attempts.
  • Circumvent or attempt to circumvent rate limits, access controls, or usage quotas.
  • Resell or sublicense access to the Services without prior written consent.
  • Use the Services to process data in a manner that violates the rights of any third party.
  • Conduct load tests or stress tests without prior written approval from Exfira.

We reserve the right to suspend or terminate access for violations of this section without prior notice.

5. Billing & Payment

Subscription fees are billed in advance on a monthly or annual cycle. All fees are non-refundable except as required by law or as expressly stated in these Terms. You authorize Exfira to charge your payment method on file for all applicable fees.

If payment fails, we will notify you and provide a 7-day grace period to update your payment method. After the grace period, we may suspend your access until payment is resolved.

Prices are subject to change with 30 days' written notice for existing subscribers.

6. Intellectual Property

Exfira and its licensors own all right, title, and interest in the Services, including all software, documentation, trademarks, and proprietary technology. These Terms do not grant you any ownership rights.

You retain all ownership of data you submit to the Services. You grant Exfira a limited, non-exclusive license to process that data solely for the purpose of providing the Services.

7. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party and to use it only for the purposes of these Terms. Confidentiality obligations survive termination for a period of 3 years, except for information that is or becomes publicly available through no fault of the receiving party.

8. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. EXFIRA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXFIRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO EXFIRA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Termination

Either party may terminate these Terms at any time with 30 days' written notice. Exfira may terminate immediately if you breach these Terms. Upon termination, your right to access the Services ceases and you must delete all Exfira proprietary materials in your possession. Provisions that by their nature should survive termination will survive.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction in those courts.
